Welcome to Superparent. These Terms of Service ("Terms") govern your access to and use of the Superparent website, mobile application, and all related services (collectively, the "Service"), provided by Superparent ("we," "us," or "our").

By creating an account or using our Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, do not use our Service.

1. User Accounts & Eligibility

Eligibility: To create an account and use our Service, you must be at least 18 years old or the age of legal majority in your jurisdiction. You must also be the legal parent or guardian of any child whose information you provide to the Service. By creating an account, you represent and warrant that you meet these requirements.
Accurate Information: You agree to provide true, accurate, and complete information when you create your account and to keep that information updated. The accuracy of the output provided by our Service depends on the accuracy of the information you provide.
Account Security: You are responsible for safeguarding the password and any social media logins (e.g., Google) you use to access the Service. You are fully responsible for all activities that occur under your account. You must notify us immediately of any breach of security or unauthorized use of your account.
Responsibility for Sharing: You may choose to share output from the Service (such as summaries, tasks, and events) with other individuals. You are solely responsible for who you authorize to see this information.

2. Subscriptions, Fees, and Payment

Subscriptions: We offer paid access to our Service on a monthly or annual subscription basis ("Subscription"). Details of our current subscription plans and pricing are available on our website.
Free Trial: We may offer a 14-day free trial for new users. If you do not cancel before the end of the trial period, your trial will automatically convert to a paid Subscription based on the plan you selected at signup, and your payment method will be charged.
Billing and Auto-Renewal: Subscriptions are billed in advance on a recurring basis. Your Subscription will automatically renew at the end of each billing cycle unless you cancel it through your account settings before the renewal date.
Price Changes: We reserve the right to change our Subscription fees in the future. We will provide you with reasonable prior notice of any price changes. Your continued use of the Service after a price change takes effect constitutes your agreement to pay the modified fee.
Cancellation: You may cancel your Subscription at any time. The cancellation will take effect at the end of your current paid billing period.
No Refunds: Payments are non-refundable, and we do not provide refunds or credits for any partial subscription periods or unused services

3. Acceptable Use Policy

You agree not to use the Service to:

Engage in any activity that is illegal, fraudulent, or violates any local, national, or international law.
Share information about a child for whom you are not the legal parent or guardian.
Violate the rights of any third party, including privacy, publicity, or intellectual property rights.
Upload, transmit, or introduce any malicious code, viruses, or harmful data.
Harass, threaten, abuse, defame, or otherwise harm another person.
Impersonate any person or entity or misrepresent your affiliation or identity.
Attempt to scrape, decompile, reverse engineer, or otherwise access our source code, algorithms, or underlying AI models.
Place an unreasonable load on our infrastructure or otherwise disrupt the integrity or performance of the Service, including by sending excessive requests to the AI system.
Circumvent any security measures or payment systems.
Resell, lease, or use the Service for any commercial purpose without our express written permission.

4. Intellectual Property Rights

Our Intellectual Property: We and our licensors exclusively own all right, title, and interest in and to the Service, including all associated software, AI models, branding, logos, and content (excluding User Content). Nothing in these Terms gives you a right to use the Superparent name or any of our trademarks or logos.
Your Content: You retain ownership of all the content you provide to the Service, including messages, documents, and manually created tasks ("User Content").
License to Us: To allow us to operate and improve the Service, you grant us a worldwide, non-exclusive, royalty-free license to use, host, store, reproduce, modify, create derivative works (such as AI-generated summaries), and communicate your User Content. This license is solely for the purpose of providing, securing, and improving the Service and ends when you delete your content or your account.

5. Termination

Termination by You: You can terminate this agreement at any time by canceling your subscription and closing your account.
Termination by Us: We reserve the right to suspend or terminate your account and access to the Service immediately and without notice if you breach these Terms, particularly the Acceptable Use Policy. We may also terminate or suspend your account for any reason with reasonable notice.
Service Discontinuation: We reserve the right to modify or discontinue the Service at any time. We will provide you with notice if we discontinue the entire Service. We are not required to provide notice for modifications to, or the removal of, specific features.

6. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE. MOST IMPORTANTLY, YOU ACKNOWLEDGE THAT THE AI-POWERED SUMMARIES, TASKS, AND EVENTS ARE GENERATED AUTOMATICALLY AND WE CANNOT AND DO NOT GUARANTEE THEIR ACCURACY, COMPLETENESS, OR RELIABILITY. YOU ARE SOLELY RESPONSIBLE FOR REVIEWING AND VERIFYING ALL OUTPUT FROM THE SERVICE.

7. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL SUPERPARENT, ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL) ARISING FROM YOUR USE OF THE SERVICE OR ANY ERRORS OR OMISSIONS IN ITS CONTENT.

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING FROM OR RELATING TO THE SERVICE SHALL BE LIMITED TO THE TOTAL AMOUNT OF FEES, IF ANY, THAT YOU PAID TO US FOR THE SERVICE IN THE 12 MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

8. Governing Law and Dispute Resolution

Governing Law: These Terms shall be governed by and construed in accordance with the laws of the Republic of South Africa, without regard to its conflict of law provisions.
Dispute Resolution: We hope to resolve any disagreements amicably. Before filing any formal legal claim, you agree to first contact us at support@superparent.io and provide us a reasonable opportunity to resolve the issue. If the issue cannot be resolved informally, you agree that any legal suit, action, or proceeding shall be instituted exclusively in the courts located in South Africa.

9. General Provisions

Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Superparent concerning the Service.
Changes to Terms: We may modify these Terms at any time. We will provide notice of material changes by posting the new Terms on our site or by sending you an email. Your continued use of the Service after such changes constitutes your acceptance of the new Terms.
